ANNUAL GENERAL MEETING 2024 – MINUTES
- Welcome & Apologies
Tilanie welcomed everyone to the AGM and thanked them for their time. We had a total of 24 ladies’ booked to attend of which 21 were members and 3 were non-members. 18 members were in attendance on the morning. Formal apologies were sent by Loretta Wilmot, Sue St Leger, and Susan Abro.
- Notice of meeting
Notice was given verbally at our February meeting and written notice was given to our whole database via Mail Blaze on the 31 January and again on the 21 February. The 2023 AGM Minutes and 2024 AGM Agenda were sent to all ladies booked to attend the AGM on 3 March 2025 by the administrator, Nicci Hosking.
- Approval of previous minutes
Tilanie asked if everyone had received and read the minutes from our 2023 AGM. The 2023 minutes were approved by all in attendance. Proposer: Emma Dunk. Seconded by: Adrienne Brown.
- Treasurer Report
Adrienne Brown from AMJ Financial presented our Annual Financial Statement for the year January – December 2024. The financials were reviewed and approved by chartered accountant Vinesh Kandailal of VN Kandailal and Company. Adrienne went through the annual financial statements for the year ended 31 December 2024. It was advised that should any attendees wish to request a copy of the financials to view, they must please send their request in writing to the organisation by emailing [email protected]

Tilanie began her report by expressing that it has been an honour to lead the organisation this past year.
Meetings
Meeting attendance increased during 2024. We are very satisfied with our venue, Hellenic Hall, who have done a wonderful job of providing a well located, safe and spacious venue with secure parking while The Food Guy has provided an amazing and varied menu each month.

Membership numbers are down from 2023 and will be the focus of the committee in 2025.

Meeting and Membership Pricing
KZN WIB membership fees remained the same as 2023.
Workshops
As a committee we decided to not offer any workshops in 2024, due to the low attendance and cancellations of workshops in 2023. We replaced them with small coffee brainstorming sessions which have been very well received and attended. A committee member hosted each meeting, which was held twice a month in the Durban North area and Upper Highway area. These sessions were open to members and non-members, which has been a great way to meet new potential members.
Charity
Singakwenza Early Childhood Education NPC (Singakwenza) was an incredible and heart-warming charity to work with. We conferred with Singakwenza and made a decision to pay them the love jar donations from each meeting at the end of each month.
Our Charity for 2024 was Singakwenza. After discussions with the charity it was decided to pay over the monthly love jar donations to them monthly. Each month they also received donations of peanut butter, stationary and recyclable items. R19,207.25 in cash and Zapper.R2,250 in merchandise sales, 105 kg of peanut butter (est value R8900), 22 (est value R1980) sets of stationery (plus Shelley linked us with Reddam House who did 180 packs for us – est value of R16 200) and Approximately 45 black bags of recycling. We absolutely loved having them as our charity.
Singakwenza kept us up to date with where their monthly donations from us were spent via their newsletter.
As per our constitution, charities were nominated, followed by member voting, with the winning charity for 2025 being The Baby Home
Sponsorship
Susan Mercer Wealth Coach was our 2024 Meeting Sponsor. It was a fantastic partnership and feedback from our members has been positive regarding the impact the information had on them. We offered additional exposure for our meeting sponsor by filming a series of interviews with Susan that were presented to our members on our social media and in our newsletters during the year. We also implemented post-meeting impromptu interviews with Susan that were added to our social media.
At the end of 2024 we managed to secure Marriott Investment Management as meeting sponsors for the first half of 2025.
Committee
Rozanne Kruger unfortunately resigned in June 2024 with immediate effect, due to personal reasons.
Arisha Ramsaran gave notice in December 2024 with her resignation coming into effect after our December year-end event, due to increased work commitments.
The existing committee members felt that for now we are coping with our duties, and will not select an additional committee member at this stage.
2024 Social Media Strategy
At the Jan committee meeting and after a strategy meeting with our meeting Sponsor we decided to create a sub committee for a social media strategy, including Tilanie, Tanya, Nicci, Robyn, Ann & Emma to discuss an action plan going forward in 2024. This included;
- Added media coverage for our meeting sponsor as per above.
- Syncing of all canva templates between Nicci and Robyn.
- Ann Druce to head up our LinkedIn page
- Creating a whatsapp group for members to relay important information and reminders.
- A very targeted approach on our social media.
- The purchase of KZNWIB branded pens to display at meetings as well as at various outside networking events our committee members attended to create awareness.
We invested in paid PR for the year and received the following coverage from Emma Dunk from Em-Between PR and Communications:

Other
Newsflash was renamed to Business Blitz to avoid any confusion between Monthly Newsletter and Newsflash and allow for 48 hour response time.
- General
Proposed amendment in the constitution
10.8. For the purposes of donating proceeds to the nominated charity, all monies in the FNB Gold Business Account and in the form of cash will be tallied after the November meeting and before the December function annually, after all expenses for November have been deducted.
Income to be retained annually (not to be included in the Charity total) includes the following:
- Cost of up to 2 meetings, including cost of 1 seat for Sponsor and 1 seat for Charity.
- 3 months salary for Administrator
- Any miscellaneous costs
- 1 month’s fixed costs to cover any additional services required or used by the organisation.
- Money in the FNB 32 Day Flexi Notice account that serves as an emergency fund
All other monies in the form of cash and in the FNB Gold Business Account shall be paid to the nominated charity by the 31st December of that year.
The final amount to be paid to the Charity must be approved by the Committee.
The committee is authorized to withdraw funds from the FNB 32 Day Flexi Notice account with the approval of three committee members.
The above changes to the Constitution will be discussed and worded correctly with industry professionals such as CNG Attorneys (for legal wording) and AMJ Financial (for the accounting wording) and then presented in writing to all attendees at the AGM and to be voted on at a special AGM to be held on the 8th May.
Chrystal Austin questioned the constitutional requirements to access the 32 Day Flexi Account for the organisation.
Bianca Johnson expressed that we should amend the fixed costs to cover ourselves for December and January when we don’t have meetings but still have set fixed expenses to pay for such as bank fees, mailblaze and administrators salary.
- Vote of thanks and Closure
Tilanie concluded the meeting by thanking the ladies for attending our Annual General Meeting with the closure time being 11:27 am verbally noted by Nicci Hosking. Thank you so much to you all for attending our AGM.
